Terms of Service — Ferry
Introduction
These Terms of Service ("Terms") govern your use of Ferry (the "App"), a mobile application published by KOODALABS LLC ("Koodalabs," "we," "us," or "our") and distributed through the Apple App Store. By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.
These Terms supplement the Koodalabs Terms of Service governing https://koodalabs.com/ and, where the two conflict with respect to the App, these Terms control. Your use of the App is also subject to Apple's Licensed Application End User License Agreement, and to the Ferry Privacy Policy, which is incorporated into these Terms by reference.
Description of the Service
The App copies health and fitness records from your Google Health account into Apple Health on your device. It reads data you have already generated through your own wearable device or connected applications, and writes corresponding records into Apple Health.
The App does not generate, measure, calculate, or estimate any health data of its own. Every value it writes originates from a third-party source and is reproduced as supplied, subject only to unit conversion.
Not a Medical Device
The App is not a medical device and is not intended to diagnose, treat, cure, mitigate, or prevent any disease or health condition. It performs no analysis of your health data and offers no clinical interpretation, recommendation, or alert.
Nothing in the App constitutes medical advice. Do not use the App, or the data it transfers, as a basis for medical decisions. Always seek the advice of a qualified health professional with any questions regarding a medical condition, and never disregard professional medical advice or delay seeking it because of information presented in or transferred by the App.
Accounts and Third-Party Services
Use of the App requires a Google account with health data, and an Apple device on which Apple Health is available. You are responsible for maintaining the confidentiality and security of those accounts, and for all activity occurring under them.
The App depends on services operated by Google and Apple. We do not control those services. Changes to, interruption of, restriction of, or discontinuation of those services may impair or prevent the App from functioning, in whole or in part, and may occur without notice to us or to you. Google has announced the retirement of the legacy Fitbit Web API; the App now uses the Google Health API, and further changes by Google may require you to re-authorize access.
Subscriptions and Payment
Certain features, including automatic background synchronization, require a paid subscription. Subscription pricing is displayed in the App before purchase and is charged to your Apple ID account upon confirmation.
Subscriptions renew automatically at the then-current price unless cancelled at least twenty-four hours before the end of the current period. Your account is charged for renewal within twenty-four hours prior to the end of the current period. You may manage and cancel subscriptions in the Account Settings of your Apple ID after purchase.
Where a free trial is offered, any unused portion is forfeited upon purchase of a subscription. Trial eligibility is determined by Apple and is generally limited to subscribers who have not previously used a trial in the same subscription group.
All purchases are processed by Apple. Refunds are governed by Apple's policies and are administered by Apple; Koodalabs cannot issue refunds for purchases made through the App Store. Requests should be directed to Apple at https://reportaproblem.apple.com/.
Acceptable Use
You agree not to:
• Reverse engineer, decompile, or disassemble the App, except to the extent such restriction is prohibited by applicable law;
• Circumvent, disable, or interfere with security or authentication features of the App or of the services it connects to;
• Use the App to access health data belonging to any person who has not authorized that access;
• Use automated means to interact with the App or the third-party services it accesses in a manner that violates those services' terms or rate limits;
• Use the App for any unlawful purpose or in violation of any applicable regulation.
Intellectual Property
The App, including its design, code, text, and graphics, is owned by Koodalabs and protected by copyright and other intellectual property laws. Subject to these Terms, you are granted a limited, personal, non-exclusive, non-transferable, revocable licence to use the App on devices you own or control.
Your health data remains yours. Koodalabs claims no ownership of, and acquires no rights in, the data the App transfers on your behalf.
Fitbit, Google, and Google Health are trademarks of Google LLC. Apple, Apple Health, HealthKit, and App Store are trademarks of Apple Inc. Koodalabs is not affiliated with, endorsed by, or sponsored by Google LLC or Apple Inc. References to those names describe interoperability only.
Availability and Accuracy
We do not warrant that the App will be available without interruption, that synchronization will be complete or timely, or that transferred data will be free of error or omission. Third-party services impose rate limits and may return incomplete data; devices may fail to record; records may be revised at the source after they have been copied.
You are responsible for verifying any data on which you intend to rely. The authoritative copy of your health data is the one held by its original source, not the copy created in Apple Health.
Disclaimer of Warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Some jurisdictions do not allow the exclusion of implied warranties, so this exclusion may not apply to you.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOODALABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE APP.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR TWENTY-FIVE UNITED STATES DOLLARS.
Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so the above may not apply to you in full.
Termination
You may stop using the App at any time by disconnecting your account and deleting the App. We may suspend or terminate your access if you materially breach these Terms, or if we discontinue the App.
Termination does not affect health records already written to Apple Health, which remain on your device under your control, nor does it entitle you to a refund except as required by Apple's policies or applicable law.
Changes to These Terms
We may revise these Terms from time to time. Material changes will be brought to your attention in the App before taking effect. Continued use after changes take effect constitutes acceptance. The date below indicates when these Terms were last revised.
Governing Law
These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of law provisions. Nothing in this section deprives you of the protection of mandatory provisions of the law of your country of residence.
Apple as Third-Party Beneficiary
You acknowledge that these Terms are between you and Koodalabs, not with Apple, and that Apple is not responsible for the App or its content. Apple has no obligation to furnish maintenance or support for the App. In the event the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App. Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, have the right to enforce them against you.
